General Terms and Conditions of Sale, Terms of Service and Shipping

These general conditions of sale govern the relationship between Nigredo Press s.r.l.s., based in Via Tripoli 47/a 47122 – Forlì (FC) and the customer in relation to the purchase of products made at a distance through the use of the telematic network, on the site nigredopress.it. For anything not expressly governed by these general conditions of sale, please refer to the provisions of Legislative Decree 22 May 1999 n. 185 and the applicable discipline of the Civil Code. As far as the protection of confidentiality is concerned, it will be subject to the regulations set forth in Legislative Decree 30 June 2003 n.196.

Definitions

Nigredo Press: indicates Nigredo Press s.r.l., VAT 04801190408 – SDI KRRH6B9.

Customer: means the final consumer, i.e. the natural person who, in connection with sales contracts concluded with MS Editions acts for purposes unrelated to any entrepreneurial or professional activity carried out.
User: means any user of the site even if not a personal or commercial account holder.
Parties: means Nigredo Press and the client jointly.
Site: means the website nigredopress.co.uk owned by Nigredo Press.
Products: means the goods sold by Nigredo Press to the customer indicated in the Order Confirmation and having the characteristics and qualities described on the Site.
Contract: means the agreement, governed by these general conditions of sale, concluded between Nigredo Press and the customer following acceptance by Nigredo Press of the Order Confirmation, by virtue of which Nigredo Press undertakes to deliver the Products to the customer, according to the terms and conditions specified below.
Order Confirmation: indicates the customer’s acceptance, forwarded to Nigredo Press by electronic transmission, of the unit price of the Product (or the total price of the Products, in the case of the purchase of several goods), the transportation costs, the characteristics and quality of the Product(s) and the provisions contained in these general conditions of sale.

Conclusion and object of the Contract

The receipt by Nigredo Press of the Order Confirmation, transmitted by the customer by electronic transmission, determines the conclusion of the Contract. With the conclusion of the Contract, Nigredo Press undertakes to supply the Customer with the Products, under the terms and conditions provided for in these general conditions of sale, without prejudice to the right of Nigredo Press not to process orders with respect to parties that do not give sufficient guarantees of solvency.
The customer, both by registering a personal account and subsequently and a fortiori by sending the Order Confirmation, unconditionally accepts and undertakes to observe, in his dealings with Nigredo Press, the provisions contained in these General Conditions of Sale and Use of the Service.
Both the registration and login on the site, as well as the use of the same as a simple user, and the submission of the Order Confirmation, therefore, imply the full knowledge and acceptance without reservation of these General Terms and Conditions of Sale and use of the service as well as the additional information contained in the web pages of the Site referred to therein and linked.
Once the Contract has been concluded with the receipt of the Order Confirmation by Nigredo Press, the latter will send the customer an e-mail message containing the details of the relevant order (prices, quantities and characteristics of the Products), with the assignment of an ‘Order Number’ to be used in any further communication with Nigredo Press.
Unpaid orders will be automatically reversed within 12 hours by the system, canceling any obligation for the customer and Nigredo Press.
Nigredo Press accepts orders for products within the limits of existing quantities in stock. Acceptance of the purchase proposal is subject to stock availability of the products themselves. Nigredo Press undertakes to promptly notify the customer of any out-of-stocks due to excess demand or other causes not foreseeable at the time of the order.
Nigredo Press will then verify the actual in-stock availability of the goods requested and will notify the customer of the actual acceptance of the order. Incomplete orders will not be shipped without authorization from the customer.

Commercial guarantees

Nigredo Press sells on the Site only games that it has published itself or that it purchases directly from manufacturers and retailers carefully selected for their rigorous quality controls. Nigredo Press does not resell used, irregular, or substandard games that are inferior to the corresponding standards offered in the marketplace, unless appropriately specified in the product description and title and documented with relevant photographs.
Products are depicted and made visible on the Site based on the information available at the time the products are uploaded using 3D rendered images. Sometimes images, colors, components may differ due to updates, variations or substantial changes in the editions of the various products. Nigredo Press cannot guarantee exact correspondence to reality in relation to images and colors as they appear on the customer’s monitor and may differ depending on the edition of the title in question.
Nigredo Press invites users to direct contact, via our Facebook page or by writing to: info@msedizioni.it, for verifications on components, colorations, game elements that may be absolutely discriminating for the customer in order to avoid the delivery of products potentially differing from the customer’s expectations.
The Parties mutually acknowledge that the games presented on the Site may no longer be available or for sale at the time of your access to the Site and that their prices may be subject to continuous updates without notice.

The payment of the price of the Products and any related shipping costs must be made by the customer by one of the methods provided on the Site, i.e. payment by Paypal, Credit Card and Bank Transfer.
In case of payment by credit card, the financial information (card number, expiration date, etc.) will be automatically forwarded through Stripe without Nigredo Press or third parties having any access to it in any way. Moreover, this information will never be reused except to issue the relevant refunds in case of any returns.

Nigredo Press will ship what has been ordered to the address specified by the customer in the order itself, using Poste Italiane for shipments in Piego di Libri, which delivers with times usually of 96/168 hours, or one of the available couriers that deliver with times usually of 24/48 hours throughout Italy (except the islands). Delivery times are not guaranteed under any circumstances, are to be considered indicative and are subject to change due to bad weather, unforeseen events, labor strikes, particular traffic concentrations on the transport network, national events, seasonality, events or other causes of force majeure.
In any case, Nigredo Press reserves the right to change and offer new and different shipping methods if it deems it appropriate, with the double objective of offering a suitable and competitive service as well as better sales conditions for both Parties.
Shipping costs will always be stated in advance by Nigredo Press and the customer can check them within their virtual shopping cart on the Site during checkout, before making payment.
Nigredo Press does not guarantee refunds for shipments not insured by the customer, and therefore, customers who wish to insure their shipment should contact Nigredo Press.
Nigredo Press is not responsible for transportation because it is entrusted to third-party carriers. Therefore, the customer is required to verify that the package is intact, not damaged or wet and otherwise conforms to standard characteristics. After such verification if the package is suitable he will be able to accept it, otherwise he will have to ask the carrier to be able to place a reservation on the acceptance.
If the visibly damaged package will not be accepted with reservation, Nigredo Press is free from any responsibility regarding any internal damage. Otherwise, if the visibly damaged package will be accepted with reservation the customer may claim any internal damage to the product which will be refunded after Nigredo Press opens an insurance claim against the carrier.

Pursuant to Article 5 of Legislative Decree 185/1999, the customer has the right to withdraw from the purchase contract for any reason, without the need to provide explanations and without penalty. To exercise this right, the customer must send msedizioni.it a communication to this effect, within 14 working days from the date of receipt of the products. This communication must be sent by email to the address: nigredopress@gmail.com
Once the aforementioned notice of withdrawal has been received, Nigredo Press will quickly notify the customer how to return the goods, which must be done within the next 48 hours.
If the goods have been delivered, the customer must return them within seven working days from the date of receipt of the goods in the following manner:

  1. the right applies to the purchased product in its entirety;
  2. No returns or replacements can be made for half-sealed products (protective pouches, zip-locks, loose nuts etc.) or for used or damaged products offered at a special price;
  3. No returns can be made of orders containing gift promotions, bonuses, goodies or other benefits or orders placed during special promotions that include limits or constraints on the order itself (e.g. euro limits, courier limits, time limits, quantity limits etc.).
  4. the purchased goods must be intact and returned in the original packaging, complete in all its parts and any protective cellophane. Opened or discarded or defustrated products cannot be returned;
  5. the purchased goods must be returned in the original packaging or similar and free of any dents, scratches, cuts or other damage that would reduce the commercial value;
  6. In accordance with the law, return shipping costs are the responsibility of the customer;
  7. the shipment remains under the complete responsibility of the customer, until the certificate of receipt at: Nigredo Press s.r.l.s., Via Tripoli 47/a 47122 – Forli (FC);
  8. in case of damage to the property during transport, Nigredo Press will notify the customer of the incident (within one working day after receipt of the goods in their warehouses), to enable him to file a timely complaint against the carrier of his choice and obtain reimbursement of the value of the property (if insured); in this case, the product will be returned, with shipping costs borne by the customer, simultaneously canceling the request for withdrawal or alternatively the value will be deducted from the amount of the refund.

Nigredo Press is not responsible in any way for damage or theft/loss of goods returned by uninsured shipments; upon its arrival at the warehouse, the product will be examined to assess any damage or tampering not resulting from transport.
Nigredo Press will refund the customer the full amount already paid, within 14 days from the time of acceptance of the return and it will be the responsibility of the customer to promptly provide the preferred method for refund between paypal, credit card or bank transfer.

If Nigredo Press detects distorted and/or harmful uses of the right of return it will suspend/close the account as per the Terms of Service and Sale.

The customer must promptly inform Nigredo Press of goods received damaged or defective before removing the cellophane.
To ensure the legal guarantee it is essential to sign the package with reservation to the courier, so where damage, openings, gashes or other damage is found on the outer packaging, it is mandatory to sign with reservation. In the absence of signature with reservation can not be offered assistance on damage.
In the case of cosmetic damage such as dents, scratches, slight scratches that do not affect the usability of the product, Nigredo Press is not required to offer any kind of guarantee, as required by law.
In the case of deep damage that affect the usability of the product Nigredo Press will undertake to replace the product, if possible and still available, or make a refund in agreement with the customer and at no additional cost. In the case of returning the product, the customer will receive full refund of the price paid during the purchase.

The Site is for personal use only. Use of the Site for commercial purposes or in any manner that is unlawful or harmful to Nigredo Press and/or other users is prohibited, as determined in the sole discretion of Nigredo Press.
Except as specifically stated by Nigredo Press, none of the Site Content may be used except as part of the Site itself, nor may it be transmitted, distributed, or otherwise exploited in any way; however, if the Site is configured to permit the downloading of particular Content, you may download one copy of such Content to a single computer or mobile device (as applicable), for your personal and private, non-commercial use only, provided that you: (a) you keep all copyright and other industrial property rights notices unaltered, (b) you do not modify and do not rent, lease, lend, sell, distribute, copy (except where you reproduce a single copy of the Content for personal back-up purposes), or make any derivative work based, in whole or in part, on the Site or the Content, and (c) you do not use the Content in a manner that suggests an association with any of our products, services, or brands. The “remailing” or transfer of the Content to another computer or mobile device outside the scope of the law (art.71 sexies Law No. 633 of April 22, 1941) and, specifically, the commercial use of the same is prohibited.

The Site, if you are not already registered to it and in order to take advantage of any of its capabilities and services, requires you to register by creating an account.
You agree to provide true, accurate, current, and complete information about yourself as required by our registration procedures. You agree not to pretend to be a different person or entity, and not to misrepresent your identity or relationship to another person or entity, including using another person’s username, password, or other account information, or another person’s name, likeness, voice, image, or photograph, or falsely pretending to be a parent or guardian where our registration process requires such information. You further agree to promptly notify us by email at: info@msedizioni.it, if you encounter any unauthorized use of your username, password or other account information, or any other breach of security of which you become aware and which affects the Site or related matters.
You represent and warrant that you have full ownership and availability of the data, information and content you provide when registering and logging in to the Site and that any use of such data, information and content by Nigredo Press does not violate any third party rights or violate any laws and/or regulations. The user, by registering a personal account and, for each session of activity on the site, by performing the login procedure, declares that he or she has read and learned Nigredo Press’s corporate policy regarding the protection of privacy and authorizes Nigredo Press to process the personal data provided both during registration and, if required, in each session of use of the site, in accordance with current legislation on the protection of personal data.
You are responsible for the confidentiality of your user name(s), password(s), and account(s), as well as all activities conducted on behalf of your account(s) and the content posted therein.
Nigredo Press reserves the right, in its sole discretion, to suspend or block any user’s account and the user’s ability to use the Site or any part thereof for impersonating another person or entity or otherwise misrepresenting his or her identity, for otherwise failing to comply with these Terms of Use or the special terms relating to a particular service offered through the Site, for infringing copyright, for posting trademarks and/or images, words, icons, sounds, music, writing, or any other graphic and/or sound reproduction that is contrary to public order, morality, or good taste.
Nigredo Press reserves the right in all cases and at its discretion to prevent access to the site and/or the services offered, to suspend or terminate an account, to remove or modify the contents of the site at its discretion, in the event of illegitimate and harmful use of the services offered as well as violation of the applicable legal provisions and these Terms of Service and Sale as well as in the event there is a determination on the part of the user to cause economic damage of any nature and in any form as well as to damage reputation, honor, brand identity or to fuel campaigns of hatred, defamation, denigration through any communication tool (such as social networks, Telegram channels, WhatsApp, blogs, YouTube etc.).
The user acknowledges that any service or offer present on the site and accessible through personal account registration, does not constitute an offer to the public ex art. 1336 c.c. and art. 187 RD 635/1940. The user through account registration and subsequent login, declares to approve without reservation these Terms of Service and Sale and to waive the protections provided by the aforementioned legislation.

Nigredo Press shall have the right to temporarily or permanently suspend the connection to the Site due to force majeure causes (such as but not limited to: measures of public authority, power failure and telephone connection failures, unavailability or blockage of the equipment of the fixed and mobile telephone operators and gateways used etc.), for failure by the user to comply with any of the obligations under these Conditions, for works of improvement, repair, maintenance of the Site, for imposition of any competent authority. Therefore, no direct and/or indirect reimbursement and/or compensation will be due to the user/customer for any reason.
It is understood that in the event of temporary suspension of the service for works of improvement, repair, maintenance and restyling of the Site, the operation of the Site will resume and continue regularly for users according to these Terms of Use.

The contract of sale between the customer and Nigredo Press is concluded in Italy and governed by Italian Law.
Nigredo Press will ship what has been ordered to the address specified by the customer in the order itself, using Poste Italiane for shipments in Piego di Libri that delivers with times usually of 96/168 hours, or one of the available couriers that deliver with times usually of 24/48 hours throughout Italy (islands, smaller islands, Venice Lagoon, Calabria may have an increase in terms of time and costs). Delivery times are not guaranteed under any circumstances, are to be considered indicative and are subject to change due to bad weather, unforeseen events, labor strikes, particular traffic concentrations on the transport network, national events, seasonality, events or other causes of force majeure of which Nigredo Press may not be aware.

Shipping charges include handling and packaging charges. We recommend that you group your items into a single order. It is not possible for us to group two separate orders placed separately; therefore, shipping charges will be charged for each if due. Your package will be sent at your own risk, but the utmost care is always taken in packing. In the event that you receive a non-conforming, opened or visibly damaged package, you must accept it by requesting the courier to affix specific reserve checks. In the absence of a signature with reserve, no assistance on damage can be offered.
